Terms & Conditions

These Terms & Conditions govern quotations, orders and the supply of products and related services by Battery Safe Systems.

Version 1.0 — August 2026

These Terms & Conditions apply to products and related services supplied by Battery Safe Systems, including orders arising from website enquiries, Guided Assessments, quotations, purchase orders and other agreed sales channels.

Battery Safe Systems supplies specialist battery-safety equipment from multiple manufacturers and suppliers. Product availability, specifications, fulfilment, warranty, freight and return arrangements may therefore vary between products and orders.

Please read these Terms together with the quotation, order confirmation and any product-specific conditions provided for the relevant transaction.

At a glance

Primary customers
Battery Safe Systems is intended principally for business, institutional, public-sector and other professional purchasers.
Orders
Larger purchases are generally quotation-led and become binding when confirmed by Battery Safe Systems.
Fulfilment
Products may ship directly from a manufacturer, distributor or other authorised fulfilment location.
Product guidance
We help identify and compare potentially suitable solutions using customer information and available manufacturer documentation.
Product-specific terms
Freight, returns, warranty, maintenance and other requirements can vary by manufacturer and product.

Business and institutional customers

Battery Safe Systems is designed principally for organisations purchasing equipment for commercial, institutional, educational, governmental or professional use.

A person submitting an order, accepting a quotation or issuing a purchase order on behalf of an organisation represents that they have authority to act for and bind that organisation in relation to the transaction.

If Battery Safe Systems expressly accepts an order from a purchaser acting as a consumer, any mandatory consumer rights that cannot lawfully be excluded or limited will continue to apply.

Seller identity

“Battery Safe Systems”, “we”, “us” and “our” refer to the seller identified as Battery Safe Systems on the applicable quotation, order confirmation or invoice.

The agreement between us

An individual transaction may involve several documents. Unless a separately signed agreement states otherwise, inconsistencies will generally be resolved in the following order:

  1. Separately negotiated written agreement. Any document expressly signed by authorised representatives of both parties for the particular transaction.
  2. Battery Safe Systems order confirmation. Including product-specific or order-specific conditions stated in that confirmation.
  3. Battery Safe Systems quotation. Including the accepted scope, specifications and stated commercial conditions.
  4. These Terms & Conditions. The version applicable when the order is accepted.
  5. Incorporated customer-support policies. Including applicable Shipping & Delivery, Returns & Refunds and Warranty information.
  6. Product or supplier terms expressly incorporated into the order. Where specific manufacturer or supplier conditions are provided or identified as applicable before order acceptance.

Customer purchase orders and procurement terms

A customer may issue a purchase order or use an internal procurement system to authorise a purchase.

Terms printed on, attached to or incorporated into a customer purchase order, procurement portal or other customer document do not modify these Terms unless Battery Safe Systems expressly agrees to those terms in writing.

Acceptance of a purchase order number, processing of an order or supply of products does not by itself constitute acceptance of additional or conflicting customer terms.

Quotations

Quotations may be based on information supplied by the customer, manufacturer or supplier pricing, product availability, freight information and other conditions known when the quotation is prepared.

Unless otherwise stated, a quotation is valid only for the period shown on that quotation.

Pricing, availability, freight or lead times may need to be reconfirmed if a quotation expires, the required product or quantity changes, the delivery address changes or relevant supplier conditions change before the order is accepted.

Order acceptance

Acceptance of a quotation, submission of a purchase order or placement of an online order constitutes a request to purchase the relevant products on the stated terms.

Unless Battery Safe Systems expressly states otherwise, an order is not binding on Battery Safe Systems until we issue written order confirmation or otherwise expressly confirm acceptance.

This allows product configuration, supplier availability, pricing, freight and other order conditions to be verified before the order is committed.

Battery Safe Systems may decline or seek to correct an order before acceptance where there is a pricing error, product error, availability issue, incomplete information or another reasonable commercial reason preventing supply on the requested basis.

Information supplied by the customer

Product guidance, quotations and order preparation may depend on information provided by the customer.

The customer is responsible for providing information that is reasonably accurate and complete, including where relevant:

  • Battery type and chemistry.
  • Battery dimensions, weight or energy.
  • Battery quantities.
  • Charging requirements.
  • Battery condition.
  • Site and occupancy information.
  • Electrical requirements.
  • Equipment dimensions and access constraints.
  • Delivery requirements.
  • Intended use.

Battery Safe Systems is not responsible for a recommendation, quotation or product mismatch resulting materially from inaccurate, incomplete or withheld customer information.

Product guidance and Guided Assessment

Battery Safe Systems provides product guidance intended to help customers define requirements, understand solution types and compare potentially relevant products or product formats.

Guidance may be based on information supplied by the customer, manufacturer documentation, published technical information and other information reasonably available to Battery Safe Systems.

Battery Safe Systems guidance does not, unless expressly agreed as part of a separate professional service, constitute engineering design, architectural design, fire-protection engineering, regulatory approval, certification or approval by an authority having jurisdiction.

Where a project requires professional design, code interpretation, permits, engineering calculations or approval by an insurer, authority having jurisdiction or other competent party, those requirements remain separate from ordinary product guidance and product supply.

Product information and specifications

Product descriptions, specifications, dimensions, photographs, drawings, certifications, test information and technical documents may be based on information provided by manufacturers, suppliers or other identified sources.

Manufacturers may update products, documentation or specifications. Minor differences that do not materially affect the agreed product may occur.

If a particular characteristic is critical to the purchase — for example dimensions, electrical load, battery capacity, test evidence, certification, fire rating or product configuration — the customer should identify that requirement during the enquiry process so that it can be specifically confirmed where appropriate.

Information expressly stated in the applicable quotation or order confirmation takes precedence over general website content.

Site suitability, codes and approvals

Requirements for lithium-ion battery storage, charging, containment, transportation and related equipment can depend on battery characteristics, quantity, use, location, building conditions and local requirements.

Unless expressly included in the agreed scope, the customer remains responsible for determining and obtaining site-specific:

  • Permits and approvals.
  • Authority having jurisdiction acceptance.
  • Building and fire-code compliance.
  • Electrical suitability and electrical works.
  • Structural suitability.
  • Ventilation or building-system connections.
  • Insurer approval or requirements.
  • Professional engineering or design input.
  • Installation requirements.

Battery Safe Systems may assist with product information relevant to these reviews but cannot guarantee third-party approval of a product or installation unless expressly agreed in writing.

Prices, freight and taxes

Prices are those stated in the applicable quotation, order confirmation or accepted online order.

Unless expressly included, product pricing should not be assumed to include freight, specialist unloading, installation, taxes, duties, permits or other site-related costs.

Applicable freight charges and additional delivery services will be identified where available during the quotation or ordering process.

Applicable sales, use or other taxes may be added where required unless the customer provides valid exemption documentation acceptable for the transaction.

Payment

Payment terms are those stated on the relevant quotation, order confirmation or invoice.

Battery Safe Systems may require full payment, a deposit or other agreed payment before procurement, production or shipment begins.

Where credit terms have been expressly approved, payment must be made within the agreed period.

Battery Safe Systems may suspend procurement, production, fulfilment or further orders where amounts due remain unpaid, subject to applicable law and any separately agreed terms.

Supplier-direct fulfilment

Battery Safe Systems works with multiple manufacturers, distributors and specialist suppliers.

Products may therefore be dispatched directly to the customer by:

  • The manufacturer.
  • An authorised distributor.
  • A specialist supplier.
  • An authorised fulfilment or logistics location.
  • A freight carrier acting on their behalf.

Products do not need to pass physically through a Battery Safe Systems warehouse in order to form part of an order supplied by Battery Safe Systems.

Delivery

Delivery method, estimated timing, freight charges and receiving requirements can vary by product and order.

Delivery dates and lead times are estimates unless expressly confirmed as binding in writing.

The customer is responsible for providing an accurate delivery address and identifying known receiving constraints before shipment.

Additional carrier, storage, redelivery, detention or handling charges caused by an unavailable receiving location, incorrect information, inadequate access or failure to receive the shipment may be charged to the customer where applicable.

Delivery and installation

Delivery does not automatically include installation, positioning, commissioning or connection.

Unless specifically included in the quotation or order scope, delivery does not include:

  • Unpacking.
  • Movement to the final operating location.
  • Assembly.
  • Electrical connection.
  • Ventilation connection.
  • Building works.
  • Commissioning.
  • Removal of packaging.

Title and risk of loss

Where specific title, delivery-point or risk-of-loss terms apply, they will be identified in the applicable quotation, order confirmation or expressly incorporated delivery terms.

Where no specific arrangement is stated, title and risk will be determined according to the applicable contract, fulfilment arrangement and governing law.

Order changes

Requested changes after order acceptance are subject to Battery Safe Systems and supplier approval.

A change in product, quantity, configuration, delivery address, delivery date or other requirement may affect:

  • Price.
  • Freight.
  • Lead time.
  • Product availability.
  • Supplier charges.
  • Cancellation status.

Battery Safe Systems will confirm material changes before proceeding where reasonably practicable.

Cancellation

Orders cannot automatically be cancelled after acceptance.

This is particularly important where Battery Safe Systems has committed an order to a manufacturer or supplier or where production, configuration, procurement or freight arrangements have begun.

Custom, configured, made-to-order or specially procured products may become non-cancellable once the relevant supplier commitment or production process has commenced.

Where cancellation is accepted, the customer may be responsible for supplier cancellation charges, committed costs, freight or other non-recoverable costs resulting from the cancellation.

Returns and refunds

Returns are not automatically accepted and require prior authorisation.

Eligibility depends on the product, supplier conditions, order status, condition and reason for return.

Approved returns may be subject to freight, supplier restocking, inspection, handling, repacking or other applicable costs.

Do not send equipment to Battery Safe Systems, a manufacturer or supplier unless written return instructions have been provided.

Product warranties

Products may carry warranties provided by the applicable manufacturer or supplier. Warranty provider, duration, scope, exclusions and remedies vary by product.

Battery Safe Systems can assist customers in identifying and coordinating the appropriate warranty process for products purchased through us.

Unless expressly stated in writing, Battery Safe Systems does not create a separate additional product warranty beyond warranties that apply to the product under the relevant contract, supplier or manufacturer terms, or applicable law.

Nothing in these Terms excludes warranties, remedies or rights that cannot lawfully be excluded or limited.

Freight damage and nonconforming deliveries

Freight damage, warranty claims and discretionary returns are different types of issue and may require different procedures.

Customers should inspect commercial freight when it arrives and document visible damage or shortages as described in our Shipping & Delivery guidance.

If a product supplied appears materially different from the confirmed order, contact Battery Safe Systems promptly before arranging a return or modifying the equipment.

Installation, operation and maintenance

Products should be installed, operated, inspected and maintained in accordance with applicable manufacturer instructions and site requirements.

Where competent installers, licensed electricians, commissioning, scheduled maintenance or inspections are required, the customer is responsible for arranging these unless they are expressly included in the Battery Safe Systems scope.

Unauthorised modification, incorrect installation or use outside documented product limitations may affect product performance and may also affect applicable warranty rights.

Events outside our reasonable control

Battery Safe Systems is not responsible for delay or failure to perform caused by events reasonably outside our control.

These may include:

  • Manufacturer or supplier disruption.
  • Material or component shortages.
  • Carrier or freight disruption.
  • Port or customs delays.
  • Industrial disputes.
  • Fire, flood or severe weather.
  • Natural disasters.
  • War, civil disturbance or terrorism.
  • Government actions or restrictions.
  • Utility or communications failures.
  • Other comparable events outside reasonable control.

Where such an event occurs, estimated delivery or performance dates may be extended for a reasonable period.

If supply becomes impossible or cannot reasonably continue, Battery Safe Systems may cancel the affected part of the order and refund amounts paid for products that will not be supplied, subject to any applicable contractual rights or obligations.

Limitation of liability

Nothing in these Terms limits or excludes liability to the extent that doing so is prohibited by applicable law.

Subject to that limitation, and to the maximum extent permitted by applicable law, Battery Safe Systems will not be liable for indirect, incidental, special, exemplary, punitive or consequential losses arising from a commercial transaction, including loss of profit, loss of revenue, loss of business opportunity, business interruption or loss of use.

To the maximum extent permitted by applicable law, Battery Safe Systems' aggregate contractual liability arising from a particular order will not exceed the amount paid to Battery Safe Systems for the product or portion of the order giving rise to the claim.

This section does not affect liability or remedies that cannot lawfully be excluded or limited and does not alter any specific remedy expressly agreed in writing for an individual transaction.

Website information

Battery Safe Systems aims to keep website information accurate and useful, but website content may be updated and should not be relied upon as the sole contractual specification for an order.

Product availability, prices, specifications and manufacturer information may change.

Where website information conflicts with an accepted quotation or order confirmation, the applicable transaction document takes precedence.

Intellectual property

Battery Safe Systems website content, original guidance, illustrations, diagrams, layout and branding are protected by applicable intellectual-property rights.

Manufacturer names, trademarks, product images, documentation and other manufacturer-owned materials remain the property of their respective owners.

Website content may not be reproduced, republished or commercially exploited without permission except where permitted by law or by the relevant rights holder.

Privacy

Personal information associated with enquiries, quotations, orders and customer support is handled in accordance with our Privacy Policy .

Electronic communications

Quotations, purchase orders, order confirmations, invoices, notices and other transaction communications may be exchanged electronically, including by email or through an online system.

References in these Terms to written communication include electronic written communication unless a different form is expressly required by applicable law or a separately agreed contract.

Governing law and disputes

The governing law applicable to a transaction will be determined by the applicable order documentation and the law governing the selling entity.

Nothing in this section prevents the parties from attempting to resolve a commercial dispute informally before formal proceedings are commenced.

General provisions

Entire agreement

The documents identified under “The agreement between us” form the agreement concerning the relevant transaction and supersede prior discussions or representations concerning that transaction to the extent permitted by law.

Changes to an agreement

A material change to an accepted order must be agreed by Battery Safe Systems and the customer as appropriate for the transaction.

Waiver

A failure or delay in enforcing a contractual right does not by itself waive that right.

Severability

If a provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Assignment

The customer may not transfer an accepted order or its contractual rights to another party without Battery Safe Systems' prior written agreement where such consent is reasonably required.

Changes to these Terms

Battery Safe Systems may update these Terms for future transactions. An existing accepted order remains subject to the version applicable when that order was accepted unless the parties expressly agree otherwise.
