Welcome to Fernwood Outdoor Furniture (“Fernwood”, “we”, “us”, or “our”). These Terms of Service (“Terms”) apply to any interaction with Fernwood — including through our website, email, phone, digital platforms, or any other communication method. These Terms govern all relationships with Fernwood, including those involving customers, suppliers, logistics partners, service providers, and other third parties.
By engaging with Fernwood in any capacity, you agree to these Terms in full.
1. Legal Entity and Personal Liability Disclaimer
Fernwood Outdoor Furniture operates as a legally registered Limited Liability Company (LLC). The company’s owners, directors, agents, and affiliates shall not be held personally liable for any loss, damages, claims, liabilities, or obligations of any kind related to use of our services, products, or partnerships.
2. Use of Services
All services and interactions with Fernwood must comply with applicable U.S. laws. You must be 18 years or older to transact with us or submit information.
3. Product Listings and Availability
We rely on third-party suppliers for all product listings. Product specifications, photos, and pricing may change without notice. We do not guarantee accuracy and reserve the right to update, correct, or remove listings at any time. All items are subject to supplier availability.
4. Orders, Payments, and Pricing Errors
Orders are confirmed only after successful payment via authorized processors (e.g., Stripe, PayPal, Shopify Payments).
- We reserve the right to cancel, reject, or revise any order at our sole discretion
- Pricing errors may be corrected post-checkout
- All payments are subject to fraud screening and chargeback protection tools
5. Shipping & Delivery
Fernwood does not ship products directly. All deliveries are fulfilled by third-party suppliers or their logistics partners.
- Fernwood assumes no liability for delivery delays, loss, or damage
- We assist with issue resolution, but responsibility rests with the supplier or their logistics agents
- Customers must enter accurate delivery information; errors are the customer's responsibility
6. Returns, Refunds, and Defective Products
Fernwood does not accept or manage physical returns. All returns are governed by the policies of the supplier.
- Any return must be approved and processed by the supplier directly
- Refunds will only be issued if the supplier agrees and refunds Fernwood first
- Fernwood assumes no liability for product defects or customer dissatisfaction
- We will assist with supplier communication but do not guarantee resolution
7. Cancellations
Orders may be canceled before supplier fulfillment begins. Once processing or shipping has commenced, cancellation is not guaranteed and will be subject to the supplier’s approval.
8. Disclaimers of Warranties and Performance
Products are sold as-is. Fernwood provides no warranties, express or implied, regarding durability, performance, suitability, or safety of any product.
We disclaim liability for:
- Product faults or failures
- Injury or damage from product use
- Fitness for any specific use
9. Chargebacks and Disputed Payments
Fernwood reserves the right to dispute and recover any chargebacks or unauthorized payment reversals. Fraudulent claims may result in legal action or permanent account termination.
10. Intellectual Property
All branding, website content, and intellectual property are owned or licensed by Fernwood. Unauthorized use is strictly prohibited.
11. Third-Party Tools and Platforms
Fernwood uses third-party software and platforms (e.g., Shopify, Stripe, PayPal, Klaviyo, Google Analytics, Meta Pixel). We are not responsible for any disruptions, data loss, breaches, or issues arising from these tools.
Use of Fernwood services constitutes consent to these integrations.
12. Third-Party Suppliers and Service Providers
Fernwood acts solely as a retailer or intermediary. We do not manufacture or store any product.
- Suppliers and logistics partners operate independently
- Fernwood assumes no responsibility for their statements, promises, or actions
- Any issue resulting from supplier conduct is the responsibility of that supplier
- Fernwood will assist with resolution but is not liable for supplier-related claims
13. Supplier and Partner Conduct
Fernwood shall not be held liable for the conduct, negligence, breach, or failure of any supplier, manufacturer, logistics provider, or service vendor, regardless of their relationship with Fernwood.
14. Limitation of Liability
To the maximum extent permitted by law, Fernwood and its owners, officers, employees, and partners shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from:
- Product use or failure
- Delivery delays or loss
- Supplier error or misconduct
- Website or app downtime
- Data issues or privacy breaches
- Legal action by third parties
15. Indemnification
You agree to indemnify and hold harmless Fernwood, its owners, and affiliates from any claim, demand, or loss resulting from your violation of these Terms, your use of our services, or your interaction with any supplier or platform connected to Fernwood.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of the United States and the state in which Fernwood is legally registered. By engaging with Fernwood, you agree to waive the right to bring any action that would require Fernwood personnel to appear physically or virtually in any legal forum.
17. Modifications to Terms
We may update these Terms at any time without prior notice. Continued interaction with Fernwood constitutes acceptance of the updated Terms.
18. Entire Agreement
These Terms represent the entire agreement between you and Fernwood, superseding all prior agreements or communications. No verbal or informal representations shall override these Terms.
